1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and NxFlow Inc. (“NxFlow”, “we”, “our”) governing your access to and use of the NxFlow AI workflow automation platform, including all associated APIs, mobile applications, browser extensions, and documentation (collectively, the “Service”).

6. Data Processing & Your Content
“Your Content” means all workflow definitions, configurations, credentials, execution data, and any other data you create, upload, or transmit through the Service.
- ▸Ownership: You retain full ownership of Your Content. We claim no intellectual property rights over it.
- ▸Licence to us: You grant NxFlow a limited, non-exclusive, royalty-free licence to host, store, process, and transmit Your Content solely to provide the Service to you.

7. Third-Party Integrations & APIs
NxFlow enables connections to third-party services (Google, Slack, GitHub, etc.) via OAuth 2.0 and MCP. By connecting a third-party service you acknowledge:
- ▸Independent agreements: Your use of each third-party service is governed by that service's own terms of service, privacy policy, and developer programme policies.
- ▸No guarantee of availability: Third-party APIs may be modified, restricted, or discontinued by the provider without notice. NxFlow is not liable for disruptions caused by third-party API changes.
- ▸Compliance with provider terms: You must comply with all applicable third-party developer programme policies (e.g., Google API Terms, Slack API Terms, LinkedIn API Terms) when configuring workflows that access those services.
- ▸Credential security: OAuth tokens and API keys are encrypted in our credential vault. You are responsible for revoking access when no longer needed.
- ▸Rate limits: NxFlow will respect third-party API rate limits. Excessive API usage charges or penalties from third-party providers are your responsibility.
- ▸No endorsement: Listing a third-party integration in NxFlow does not constitute an endorsement of that service.
8. Intellectual Property
- ▸NxFlow platform: The Service, including its design, codebase, documentation, trademarks, logos, and proprietary technology, is owned by or licensed to NxFlow Inc. and is protected by copyright, trademark, trade secret, and other intellectual property laws.
- ▸Your workflows: Workflow definitions, node configurations, and MCP server definitions you create are Your Content — you own them.
- ▸Open-source components: NxFlow incorporates open-source software. Relevant licences are available in the source repository. Nothing in these Terms restricts your rights under open-source licences.
- ▸Feedback: If you submit suggestions, ideas, or feedback about the Service (“Feedback”), you grant us an irrevocable, perpetual, royalty-free licence to use, implement, and commercialise that Feedback without any obligation or compensation to you.
- ▸Marketplace content: Templates and MCP servers published to the marketplace retain the intellectual property of their respective authors. By publishing, you grant NxFlow and other users a non-exclusive licence to use, fork, and adapt your published content.
- ▸Restrictions: You may not remove proprietary notices, use our trademarks without written permission, or represent that your products are endorsed by NxFlow.

These limitations apply regardless of the form of action (contract, tort, or otherwise) and even if NxFlow has been advised of the possibility of such damages. Some jurisdictions do not permit the exclusion of certain types of liability, in which case the exclusions apply to the maximum extent permitted by applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless NxFlow Inc. and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law principles.
13.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@cogniai.com and attempt to resolve the dispute informally for at least 30 days.
13.2 Binding Arbitration
If a dispute cannot be resolved informally, it shall be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall be conducted in English in Virginia, USA (or remotely if both parties agree). The arbitrator's decision is final and binding. You and NxFlow each waive the right to a trial by jury and to participate in a class action.
